01Scope & agreement
These Terms of Service govern use of the Zoril Systems website and Zoril POS, Zoril Finance, Zoril SMS and Zoril Analytics. Zoril Systems is based in Arua, Uganda. References to ‘you’ include the individual using a service and, where applicable, the organisation that individual is authorised to represent.
By accessing or using a service after being given an opportunity to review these terms, you agree to the terms applicable to that use. If you do not agree, do not use the service. A signed service agreement, accepted quotation or product-specific agreement takes precedence over these general terms where there is a conflict. Mandatory legal rights remain unaffected.
02Eligibility & accounts
You must have legal capacity to enter into the relevant agreement, or act under the authority of an organisation that does. Organisational administrators must ensure that users, including students where applicable, have appropriate authorisation to access the service.
Provide accurate account and billing information, keep it up to date, protect your credentials and restrict access to authorised users. You are responsible for activity carried out under your account, except to the extent caused by circumstances for which applicable law makes Zoril responsible. Notify contact@zoril.app promptly if you suspect unauthorised access.
03Services & agreed scope
Features, user limits, storage, integrations, onboarding and support depend on the product and the plan or agreement you select. A demonstration or enquiry does not by itself establish a paid subscription or guarantee a particular feature. Confirm the agreed scope before relying on a service for a critical business process.
Zoril may maintain, update or modify services. Material changes to contracted functionality are subject to the relevant agreement and applicable law. No fixed uptime, response time, backup schedule or service credit is promised by these general terms; any such commitment must be stated in the applicable service agreement.
04Responsibilities by app
Zoril POS: businesses are responsible for the accuracy of products, stock, prices, taxes, sales and customer records they enter, and for checking receipts and reports against actual transactions. Use of the software does not replace accounting, tax or consumer-protection obligations.
Zoril Finance: VSLAs, SACCOs and microfinance organisations remain responsible for membership authorisation, savings and loan decisions, interest calculations, approvals and regulatory compliance. The software is a record-management tool; its provision does not itself mean Zoril holds deposits, lends money or provides regulated financial advice. Verify calculations and reports before financial decisions or disbursements.
Zoril SMS: senders must have a lawful basis to message recipients, use authorised sender identities, honour opt-outs and comply with telecommunications and marketing requirements. Do not send spam, impersonation, scams, unlawful content or messages to unlawfully obtained contact lists. Delivery depends on network operators, recipient devices and other factors and is not guaranteed.
Zoril Analytics: schools are responsible for the accuracy and lawful use of student, guardian, staff, attendance, fee and examination records, appropriate access permissions and notices or consent where required. Authorised school staff must verify results, report cards and communications before issuing them.
05Acceptable use
Use the services lawfully and within your authorised access. Do not upload unlawful material, infringe another person’s rights, distribute malicious software, attempt to access another organisation’s records, bypass security controls or interfere with service availability.
Do not share credentials outside authorised users, scrape or extract information without permission, misuse messaging or APIs, or attempt to circumvent agreed usage limits. Security testing requires prior written authorisation. Report suspected vulnerabilities privately to contact@zoril.app without accessing or disclosing other users’ information.
06Your data & privacy
You retain your rights in the records and content you provide. You authorise Zoril to process that information only as needed to provide, secure and support the service, carry out your authorised instructions and meet applicable legal obligations, subject to the relevant service and data-processing arrangements.
You must have the necessary rights and lawful basis to submit personal information, including records about customers, members, recipients and children. Limit sensitive information to what is necessary, configure access appropriately and respond to data-subject requests for records your organisation controls. The Privacy Policy explains how personal information is handled; it does not replace any required data-processing agreement.
07Fees, billing & taxes
Prices, billing currency, payment deadlines, taxes and any onboarding or usage charges are those stated in your accepted quotation, order or service agreement. Check these details before purchasing. You are responsible for agreed charges and for keeping billing information accurate.
Changes to subscription fees must be communicated before they apply in accordance with the relevant agreement and applicable law. These terms do not establish a particular price, late-payment penalty or automatic renewal arrangement. Any recurring billing or renewal must be disclosed and agreed separately.
08Cancellation & refunds
Cancellation, notice periods, renewal and refund arrangements are governed by the plan or agreement you accept and applicable law. Contact contact@zoril.app to request cancellation and identify the relevant app and organisation. Do not include passwords or unnecessary sensitive records in your request.
These general terms do not introduce a blanket no-refund rule. Charges for completed work, services already provided or third-party usage are assessed under the applicable agreement, subject to mandatory rights. Confirm any prepaid SMS-credit expiry, refundability or cancellation arrangements before purchasing credits.
09Third-party services & APIs
Optional integrations, payment providers, telecommunications networks and other external services may have separate terms, fees and privacy policies. Review those terms and the information an integration receives before enabling it. Zoril is not responsible for third-party services except to the extent required by law or expressly agreed.
Protect API credentials, use only authorised endpoints and follow documented limits and requirements. You are responsible for your integration’s configuration and use. Changes or interruptions in external services can affect connected features.
10Intellectual property
Zoril and its licensors retain their rights in the software, branding, documentation and website content. Subject to your agreement and payment of applicable fees, you may use the service for its intended purpose within the agreed scope. These terms do not transfer ownership of the software or Zoril’s trademarks.
Do not copy, resell, sublicense or misrepresent the service as your own without written permission. Restrictions on reverse engineering apply only to the extent permitted by law. Your ownership of your own records and content is not affected.
11Availability, support & backups
Services may be interrupted by maintenance, technical faults, connectivity issues, network operators or events beyond reasonable control. Support channels and service levels are those agreed for your product. Contact us with sufficient information to investigate a problem without sharing credentials.
Maintain appropriate business continuity arrangements and independent copies or exports of important records where available. Any backup and restoration commitments must be confirmed in your service agreement. Do not assume a backup can restore every record or that offline functionality eliminates the need to synchronise and verify records.
12Suspension & termination
Zoril may restrict or suspend access where reasonably necessary to address a serious security risk, unlawful use, material breach, non-payment of agreed charges or a valid legal requirement. Notice and an opportunity to resolve the issue will be provided where reasonable and legally permitted; urgent security or legal circumstances may require immediate action.
Either party may end a service in accordance with the applicable agreement and law. On termination, access may cease and outstanding agreed charges remain payable. Contact us before closure to arrange any available export or handover. Data retention and deletion are subject to the Privacy Policy, the applicable agreement and lawful retention requirements.
13Disclaimers & liability
Except for commitments expressly made in an applicable agreement and rights that cannot lawfully be excluded, the services are provided without a promise that they will be uninterrupted, error-free or suitable for every intended purpose. Reports and automated outputs should be reviewed by an authorised person before critical decisions.
To the extent permitted by law, neither party is liable under these general terms for indirect or consequential losses arising from use of the services. Any specific financial liability limit must be set out in the applicable service agreement. Nothing in these terms excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be limited, or removes mandatory consumer rights.
14Events beyond reasonable control
A party is not responsible for a delay or failure caused by an event beyond its reasonable control to the extent permitted by law and the relevant agreement. Examples may include major power or network outages, natural disasters and lawful government restrictions. The affected party should take reasonable steps to reduce disruption and communicate material impacts where possible. This does not automatically waive payment for services already provided.
15Governing law & disputes
Unless an applicable service agreement lawfully provides otherwise, these terms are governed by the laws of Uganda. Contact contact@zoril.app first to seek a practical resolution of a service dispute. If a dispute cannot be resolved, it may be brought before a court with competent jurisdiction, subject to applicable mandatory rights.
These terms do not impose mandatory arbitration or prevent you from contacting a regulator or exercising legal rights. If a provision is found unenforceable, the remaining provisions continue to apply to the extent lawful.
16Changes to these terms
Zoril may update these terms to reflect service or legal changes. The date above identifies the latest revision. Material changes affecting an existing service should be communicated with appropriate notice and any consent required by law or the service agreement. Changes do not retroactively override an agreed contract or remove accrued rights.
